The year 2025 has begun, and it is already March. Initially, our key achievements and case studies for 2024 were scheduled to be released in January. However, due to the impact of the Palisades Fire, a major event in California’s history, this report is only being published now.
Although the total number of cases we handled in 2024 was lower than in 2023, we focused on high-impact cases, resulting in increased revenue. In particular, we achieved significant success in advisory services related to Korea-U.S. business transactions (including business expansions into Korea and the U.S.) and M&A transactions (including disputes).

[Cross-Border M&A] Advisory on the Acquisition of a U.S. Company (CliaLab) by a Korean Publicly Listed Company (Buyer-Side Advisory)
Our client, a Korean publicly listed company, had previously entered the U.S. market by acquiring a U.S. company through large Korea and U.S. law firms. This time, they chose K-Law Consulting for their M&A advisory. Working as a consortium with a U.S. law firm that we collaborate with closely, we successfully provided comprehensive M&A advisory services. Our client was highly satisfied with our services. As neither the seller nor the target company had prior M&A experience, we led the entire process—from pre-transaction preparations to closing and post-merger integration (PMI)—by providing on-site advisory services in the U.S.
[Cross-Border M&A] Advisory on Foreign Investment in a Korean Startup (Startup-Side Advisory)
Our client, a Korean startup, sought investment from a foreign investor and we provided one-stop advisory services, including legal due diligence, contract drafting and negotiations, foreign investment registration, transaction closing, corporate registration, and tax-related matters. With a strong network of legal, tax, and accounting professionals in both Korea and the U.S., we ensured that our client received the most cost-effective and efficient services tailored to their needs.
[Cross-Border Corporate Disputes] Litigation Advisory for a Korean Publicly Listed Company in the U.S.
Our client, a Korean publicly listed company with a subsidiary in the U.S., was involved in a high-stakes lawsuit in the United States. The client engaged us before a lawsuit was filed in the California court. We partnered with a boutique U.S. corporate advisory law firm to proactively respond to the dispute. In particular, we successfully carried out tasks that had to be handled locally in the U.S., and the client continued to entrust us with related matters. Once litigation commenced, we worked in consortium with a U.S. litigation law firm to handle the case. During the process, our client also initiated a lawsuit in a California court. While the U.S. law firm directly carried out the litigation process itself, we performed a critical role in formulating legal strategies, negotiating with the opposing party, explaining procedural and substantive differences between Korean and U.S. litigation, and ensuring seamless communication with our client across different time zones. Our approach aimed to achieve the best possible dispute resolution for our client.
[Cross-Border Inheritance] Resolving an Inheritance Dispute with Korean Heirs
Our client, a U.S. citizen with no Korean language proficiency, was involved in an inheritance dispute with Korean heirs. It was a highly complex dispute involving not only inheritance and trust-related issues in the U.S. but also Korean inheritance law. By collaborating with a U.S. law firm, we successfully reached a mutual settlement before litigation. Despite challenges arising from differences in language, legal systems, and cultural differences, we provided in-depth explanations of Korean inheritance law and guided our client through negotiations, ultimately achieving a resolution that aligned with their objectives.
[Korean Visas] Issuance of an Overseas Korean Visa (F-4 Visa) Achieved Through Successful Negotiations with the U.S. and Korean GovernmentsÂ
Our client immigrated to the U.S. at a very young age and later had children in the U.S. Neither the client nor their child spoke Korean fluently. Although obtaining an Overseas Korean Visa (F-4 Visa) is typically straightforward, it can be challenging or nearly impossible for individuals who immigrated many years ago and lack the required documentation. In this case, both parents had immigrated long ago, making it extremely difficult to prepare the necessary documents. Through persistent negotiation and persuasion with government agencies in both Korea and the U.S., we expedited the issuance of certain documents and substituted others where necessary. As a result, we successfully obtained an F-4 Visa for the client’s child.
